The Mental Health Network and Training Institute (MHNTI) owns and operates the MHNTI website located at www.mhnti.com (the “Website”) and the MHNTI mobile application (the “Application” and, together with the Website and any other websites, applications or other related platforms which MHNTI may operate from time to time, the “Platform”). These Terms of Agreement (“Agreement”) govern your access to and use of the products, services, or communications provided by MHNTI, and any affiliated website, software or application owned or operated by MHNTI (collectively, including the Platform and the content, the “Service”). MHNTI provides high-quality, online continuing education (“CE”) training courses, professional consultations, and networking groups as a subscription. By subscribing to MHNTI, you are agreeing to comply with and be bound by the following terms of use.

Acceptance of Agreement.

Please read the Agreement carefully before using the Service. In this Agreement, the term “you” and “yours” refer to the person/subscriber using and/or accessing the Service. You agree to the terms and conditions outlined in this Agreement with respect to your subscription to the Service offered on the Platform. This Agreement, constitutes the entire and only agreement between MHNTI and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Platform, the content, products or services provided by or through the Platform, and the subject matter of this Agreement. The Service is continually under development, and MHNTI reserves the right to revise or remove any part at any time without specific notice to you. The latest Agreement will be posted on the Platform, and you should review this Agreement prior to using the Platform. Unless otherwise indicated, any new content added to the Service is also subject to this Agreement upon posting to the Platform. Your continued use after a change to the Agreement has been posted constitutes your acceptance of the Terms of Use as modified by such changes unless applicable law requires us to provide additional notice or take other actions before such changes can become effective. If you do not accept and agree to be bound by any of this Agreement, you should not access, subscribe, or otherwise use the Service or any information or content provided through the Platform.

Intellectual Property.

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Service and the Platform are confidential and proprietary information (the "Information") protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such Information or any part of the Site is strictly prohibited. You do not acquire ownership rights to any content, document, materials or other Information viewed through the Platform. The posting of Information on the Platform does not constitute a waiver of any right in such Information. You agree to keep all Information on the Platform confidential and not to disclose, directly or indirectly, any Information to any third party.

Limited Right to Use and Availability.

The viewing, printing and downloading of any content, graphic, form, document or other Information from the Platform grants you only a limited, nonexclusive license for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution). No linking to the Platform is permitted without the prior written permission of MHNTI.

In order to use the Services and the Platform, you must be a registered user that is a licensed mental health professional and/or an active student seeking to become a licensed mental health professional. We reserve the right to refuse to provide Services and/or access to the Platform to you if you are unable to provide such appropriate identification or information.

Editing, Deleting and Modification.

MHNTI reserves the right in its sole discretion to edit or delete any documents, information or other content appearing on the Platform. MHNTI does not need to notify you of any changes made to the content or Information provided on the Platform.

Indemnification.

You agree to indemnify, defend and hold us and our partners, attorneys, staff and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorneys' fees, related to your violation of this Agreement or use of the Platform.

Subscription.

MHNTI provides quality, online continuing education (CE) training courses for professionals in the mental health field. Each subscription is based on an annual or monthly fee and applies only to the sole subscriber upon joining. During a term of subscription, the subscriber/user is entitled to unlimited access to all courses within the Platform however based on the subscription may be limited to the amount of credits that can be earned within a certain time frame outlined by the subscription benefits the User selects. Unlimited access means the subscriber may select from the MHNTI library of CE training courses which offer a wide variety of mental health concentrations.

Nontransferable.

Your right to use the Platform is not transferable. Any password or right given to you to obtain information or documents is not transferable.

Library Access.

MHNTI will maintain an ongoing CE course library with discipline-specific content within the mental health field with the primary purpose of supporting professional development and/or meeting CE requirements necessary for professional certification and/or state licensure. This training course library may be updated and/or modified during your subscription. MHNTI may remove a CE training course from the library at any time, for any reason, without notice to you. While we will make all reasonable efforts to offer CE credit for its courses, we are not responsible for state or national or regulatory changes in CE requirements that may make courses ineligible for CE credits. The Platform shall make all reasonable efforts to maintain the CE training course library and display its courses for use twenty-four (24) hours a day, seven (7) days a week, subject to scheduled downtime for maintenance and system outages beyond the Platform’s control.

CE Reporting.

MHNTI will keep a record of your CE training courses. This includes all complete, incomplete and pending coursework. Refer to the MHNTI CE section of the Platform for specifics regarding CE reporting procedures and related topics.

Consultations.

MHNTI offers group and 1-on-1 consultations (“Sessions”) with MHNTI Experts and Faculty (Faculty). Rates for these services are at the discretion of MHNTI in agreement with the Expert Faculty. MHNTI is not responsible for the content or discussions that occur during these sessions. Users should present case questions in a hypothetical manner, not disclosing any identifying information. Users should use the advice, content, and/or relation resources at their own risk and discretion. MHNTI does not offer refunds for any missed (including no-shows and/or with prior notice) meetings or appointments. If a user misses two (2) scheduled consultations, MHNTI has the right to suspend or delay the subscribers consultation subscription benefits and/or increase the rate of future consultations as a result of missed meetings or appointments. At the discretion of MHNTI and the Faculty, we have the right to refuse meetings or appointments with a user for any reason. As a result of engaging in the consultation services, you agree to accept communication from MHNTI and/or Faculty. MHNTI Expert Faculty may provide ways of communication outside of the Platform at their own discretion and liability. MHNTI is not liable or responsible for any communication or information exchanged inside or outside of the Platform.

Disclaimer and Limits.

The information from or through the platform is provided "as is," "as available," and all warranties, express or implied, are disclaimed (including, but not limited to, the disclaimer of any implied warranties of merchantability and fitness for a particular purpose). The information, services and programs may contain bugs, errors, problems or other limitations. Mhnti does not warrant or guarantee the accuracy, completeness, reliability, timeliness or usefulness of the service. Mhnti and any of our affiliated parties have no liability whatsoever for your use of any information, service or program, and other material provided on or through the service or the platform (including any consultations or other services you may receive). In particular, but not as a limitation thereof, we and our affiliated parties are not liable for any indirect, special, incidental or consequential damages (including damages for loss of business, loss of profits, litigation, or the like), whether based on breach of contract, breach of warranty, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages. The negation of damages set forth above is a fundamental element of the basis of the bargain between us and you. This platform and the service would not be provided without such limitations. No advice or information, whether oral or written, obtained by you from us through the platform shall create any warranty, representation or guarantee not expressly stated in this agreement.

All responsibility or liability for any damages caused by viruses contained within the electronic file containing the form, document or program is disclaimed. We will not be liable to you for any incidental, special or consequential damages of any kind that may result from use of or inability to use our site. Our maximum liability to you under all circumstances will be equal to the purchase price you pay for any goods, services or information.

Use of Information.

We reserve the right, and you authorize us, to use and assign all information regarding Site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

Privacy Policy.

Our Privacy Policy, as it may change from time to time, is a part of this Agreement.

External Links.

The Platform contains links to other websites. We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked website on our Platform does not imply approval or endorsement of the linked website by us. If you decide to leave our Platform and access these third-party sites, you do so at your own risk.

Links to Our Website.

Links to our Platform are not permitted without the prior written permission of MHNTI. MHNTI has the right to refuse any request to link to the Platform.

Use of Program by Minors.

It is expected that users of the program are above 18 years of age. Users are expected to consent to being above this age limit and MHNTI is not responsible for any communication or content provided to minors.

Notice Regarding Apple.

By accessing or downloading our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement, which can be found at Apple Terms. In the event of a conflict, these Terms will take precedence over the Apple Terms.

Notice Regarding Google.

This section applies if you acquire the app from the Google Play Store: (i) You acknowledge that these Terms of Service are solely between you and MHNTI, not with Google, Inc. ("Google"). (ii) Your use of the app must comply with Google’s current Google Play Terms of Service. (iii) Google only provides the Google Play platform where you obtained the app. (iv) MHNTI, not Google, is solely responsible for the app. (v) Google has no obligations or liabilities to you concerning the app or these Terms. (vi) You acknowledge and agree that Google is a third-party beneficiary of these Terms as they relate to the app.

This Agreement shall be treated as though it were executed and performed in Houston, Texas, and shall be governed by and construed in accordance with the laws of the State of Texas (without regard to conflict of law principles). Any cause of action by you with respect to the Platform and/or Service (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in Section 7. The language in this Agreement shall be interpreted as in accordance with its fair meaning and not strictly for or against either party. All legal proceedings arising out of or in connection with this Agreement shall be brought solely in Houston, Texas. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the platform is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.
